1. Acceptance of Terms

By accessing or using any website, digital platform, or online service operated by Attribute Global Ventures Pte. Ltd. ("AGV," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms") in their entirety. If you do not agree with any part of these Terms, you must immediately cease use of our platforms. These Terms constitute a legally binding agreement between you and AGV. AGV reserves the right to modify these Terms at any time. Continued use of our platforms following any modification constitutes acceptance of the revised Terms.

2. Eligibility

Our platforms and their content are intended for use by sophisticated and institutional users, qualified investors, and professional counterparties as defined under applicable laws of Singapore and the relevant user's home jurisdiction. Nothing on this platform constitutes a public offering or solicitation of securities or investment products in any jurisdiction where such offering or solicitation would be unlawful. By accessing this platform, you represent and warrant that you are legally permitted to do so under the laws applicable to you.

3. No Investment Advice

All content published on AGV's platforms including market commentary, sector analyses, investment theses, performance data, and portfolio information is provided for informational and illustrative purposes only. It does not constitute investment advice, financial advice, legal advice, or any other professional advice. Past performance of any investment vehicle, fund, or strategy managed or referenced by AGV is not indicative of future results. All investments involve risk, including the potential loss of capital. Prospective investors should conduct their own due diligence and consult qualified advisers before making any investment decision.

4. Intellectual Property

All content on AGV's platforms, including but not limited to text, graphics, logos, data, analyses, software, and trade marks, is the exclusive intellectual property of AGV or its licensors and is protected under applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from AGV's platforms without AGV's prior written consent. The AGV name, logo, and all related marks are trade marks of Attribute Global Ventures. Unauthorised use is strictly prohibited.

5. Prohibited Conduct

You agree not to: (a) use our platforms for any unlawful purpose or in violation of any applicable regulations; (b) attempt to gain unauthorised access to any part of our platforms or associated systems; (c) transmit any malicious code, virus, or harmful data; (d) impersonate AGV or any AGV personnel; (e) engage in data scraping, web crawling, or automated data extraction without express written consent; (f) use our platforms to conduct market manipulation, insider dealing, or any activity that would constitute a market abuse offence under MAS guidelines or the Securities and Futures Act (Cap. 289).

6. Third-Party Links

AGV's platforms may contain links to third-party websites or services. Such links are provided for convenience only. AGV does not endorse, control, or assume responsibility for the content, privacy practices, or availability of third-party sites. Accessing third-party sites is at your own risk.

7. Disclaimers & Limitation of Liability

AGV's platforms and all content thereon are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, AGV, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our platforms or the content thereon, even if AGV has been advised of the possibility of such damages. AGV's total aggregate liability to you for any claims arising under these Terms shall not exceed SGD 100.

8. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall first be submitted to mediation at the Singapore Mediation Centre (SMC). If mediation fails to resolve the dispute within 60 days, either party may refer the matter to arbitration before the Singapore International Arbitration Centre (SIAC) under its prevailing rules, with the arbitration conducted in Singapore in the English language.

9. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
